All vendors will be required to have insurance. The required coverages shall include: (1) Commercial General Liability Insurance, including products and completed operations, host liquor, advertising liability, personal injury and athletic participants. For the Commercial General Liability, and Liquor Liability Insurance coverages, Miami-Dade County must be shown as an additional insured. Any required limits concerning the Commercial General Liability and Automobile Liability coverages may be met with Umbrella and Excess Liability Insurance.
a) Primary General Liability – each occurrence $1,000,000/$2,000,000 general aggregate;
The liability policies shall include the following (and the evidence of insurance to be furnished to The Underline shall reference the following): “The Underline and Miami-Dade County” shall be included as an additional insured to the General Liability and Excess Liability Policies; such liability policy(ies) will be primary insurance and non-contributory in the event any insurance maintained by the The Underline applies to any loss; such policy(ies) includes blanket contractual liability covering the indemnities of Unite Worldwide under this Agreement; and such policy(ies) provide for 30 days prior written notice to The Underline in the event of cancellation or any material change in such policy(ies); such policy(ies) shall include a waiver of subrogation against The Underline.
All Farmers Market food vendors are required to carry general liability insurance with policy limits not less than a $1,000,000 personal and $2,000,000 General Aggregate naming “The Underline”, “Unite Worldwide, Inc.” and “Miami-Dade County” as additionally insured

A copy of the liability certificate must be presented before space is assigned. Detailed limits of insurance required are:Each Occurrence: $ 1,000,000

Will need confirmation that their policy does not have any exclusions for claims against produce, fruit, vegetables, or homemade items; in short, they should have food liability insurance/product liability in the amount of $1,000,000 per occurrence and $2,000,000 aggregate.
On the certificate, under the DESCRIPTION OF OPERATIONS / LOCATIONS / VEHICLES (ACORD 101, Additional Remarks Schedule, may be attached if more space is required) the following statement should be included on every Certificate of Insurance.
All paperwork (vendor application, copies of licensing/permits, liability insurance coverage) must be on file with The Underline prior to vending at the Market. As these documents expire (permits, insurance plans), new ones must be provided to the Market.

I have all licenses required to produce and sell my product. I will be able to present these documents upon application acceptance. If vendor does not have insurance, Unite Worldwide will send a link to acquire insurance upon request.
I understand that if I attend the market, and am not able to provide proof of insurance, I will be asked to leave without any refund.

This Vendor Agreement and Indemnification (this “Agreement”) is made as of the date set forth herein below, by and between the undersigned vendor (“Vendor”) and Unite Worldwide, Inc.
In consideration for the limited right to use an allocated space (the “Space”) at the Promenade at The Underline for the sale of goods at the Farmers Market at The Underline brought to you by Unite Worldwide Inc. (“Market”) and the services provided by Unite Worldwide, Inc. and The Underline, the receipt and sufficiency of which is hereby acknowledged, the Vendor agrees as follows:
Rules of Operation. Vendor hereby agrees to comply with the Rules and will be asked to leave if one does not abide by the rules.
“As Is” Condition. Vendor has inspected the Space and agrees to use the Space in its “as is” condition; If any damages occur to the vendors space while in use, it will be the Vendor who is responsible for the payment to The Underline to repair the space in use.
Allowed Goods. Vendor will use the Space solely for the purposes of the Market to sell fresh fruits, vegetables, flowers, sauces, meats, cheeses, other food products and/or approved items. The Space shall not be used for any other purposes without Unite Worldwide’s prior written permission. No vendor is permitted to sell or promote the following content: (1) political or political campaign advertising/marketing; (2) content or goods promoting the sale of tobacco or other controlled substances; (3) content or goods that is clearly defamatory or likely to hold up to scorn or ridicule any person or group of persons; (4) content or goods that is obscene or pornographic, or in advocacy of imminent lawlessness, or unlawful violent action.
Market Days. The Market will operate on the last Saturday of every month, between the hours of 9 AM-4PM.
Set-Up and Teardown. By 8:00 a.m. on each Market Day, Vendor shall have access to the Space. Vendor shall only erect stands for the purpose of selling goods to be erected on paved portions of the Space. Between 4-4:45PM, on each Market Day, Vendor shall cause its stands to be disassembled and its Space to be cleaned of all debris. Vendor shall cause its Space to be restored to the condition it was in before the Market Day. Vendor will be gone by 4:45 PM. If the Vendor is not completely gone by 4:45 PM, there will be a $100 charge placed on your account, and you will not be invited back to the market.
Refuse. Unite Worldwide, Inc. and The Underline will provide garbage cans for use in the market area 9:00 a.m. on each Market Day and will remove the garbage cans after 4:00 p.m. on each Market Day.
Insurance. Vendor shall obtain and maintain a policy or policies of insurance as listed above. These documents are to be presented immediately upon request. If the vendor does not have all of the required insurances and something happens which requires one of the insurance, the vendor will take sole responsibility for the incident. Unite Worldwide, Inc., The Underline, and Miami-Dade County will not be held responsible for any incident.
Indemnification. Vendor shall indemnify, defend, and hold and save Unite Worldwide, Inc. and/or The Underline, and their respective officers, directors, agents and employees (together, the “Indemnified Parties”), harmless from any and all claims, suits, demands, debts, undertakings or proceedings of any kind or nature, whether meritorious or frivolous, in any way arising out of the Vendor’s use of the Space, including liability caused in whole or in part by the Indemnified Parties. Vendor shall, at its own expense, appear, defend, and pay all attorneys’ fees and all costs and other expenses arising therefrom or incurred in connection therewith; and, if any judgment shall be rendered against the Indemnified Parties in any such action, Vendor shall, at its own expense, satisfy and discharge same. This acts as the release of liability form. Vendor understands the release of liability form and hereby agrees. Vendor hereby releases, waives, discharges and covenants not to sue Unite Worldwide, Inc., and/or The Underline, its directors, officers, employees, and agents (hereinafter referred to as “Releasees”) from all liability whatsoever to Vendor, its employees, agents, personal representatives, contractors and subcontractors, assigns, heirs, and next of kin for any loss or damage, and any claim or demands therefor on account of injury to person or property or resulting in death, except in the event of gross negligence or willful misconduct on the part of Unite Worldwide, Inc. and The Underline, its employees, agents, representatives, or contractors and subcontractors, while Vendor or its employees, clients, invitees, guests, agents, representatives, or contractors and subcontractors are in, upon, or about The Underline’s premises, including use of any facilities or equipment therein. Vendor hereby agrees to indemnify, defend, save, and hold harmless the Releasees and each of them from any loss, liability, damage, or cost they may incur arising from the Vendors operations at The Underline and Unite Worldwide, Inc. premises or any Farmers Market event, including but not limited to use and occupancy of Unite Worldwide, Inc. and/or The Underline’s equipment or facilities, unless such harms arise out of Releasees’ gross negligence or willful misconduct. Vendor hereby assumes full responsibility for and risk of bodily injury, death, or property damage that may be incurred arising from Vendor’s operations at The Underline and/or Unite Worldwide, Inc. premises, including but not limited to use of The Underline’s and/or Unite Worldwide’s equipment or facilities, unless such harms arise out of Releasees’ gross negligence or willful misconduct. In case any action is brought against any indemnified party, and it notifies the indemnifying party of the commencement thereof, the indemnifying party will be entitled to participate in the action, and, after notice from the indemnifying party to the indemnified party, to assume the defense of the action and appoint counsel. In the event the indemnifying party elects to assume the defense of any suit or other action, the indemnified party may retain additional counsel but the indemnified party shall bear the fees and expenses of any additional counsel. Vendor further expressly agrees that the foregoing release, waiver, and indemnity language (paragraphs above) is intended to be as broad and inclusive as is permitted by the laws of the State of Florida and that if any portion thereof is held invalid, it is agreed that the balance of such provisions shall, notwithstanding, continue in full legal force and effect.
